End User Software License Agreement THIS SOFTWARE LICENSE AGREEMENT ("LICENSE AGREEMENT") GOVERNS YOUR USE OF THE SOFTWARE YOU RECEIVE FROM iNYC Free DSL, Corp. ("INYC") IN CONNECTION WITH THE INTERNET ACCESS SERVICES ("INYC SERVICES") PROVIDED BY INYC. BY CLICKING ON THE "ACCEPT" BUTTON AND DOWNLOADING AND/OR USING INYC SERVICES, YOU AGREE TO BE BOUND BY ALL OF THE TERMS OF THIS LICENSE AGREEMENT. If at any time after activation of your INYC account, you do not agree to be bound by this License Agreement, you should immediately end your use of INYC Services and the Software and return or destroy all copies of the Software, including third party software, if any, as may be distributed by INYC. INYC may change the terms and conditions of the INYC License Agreement, Terms and Conditions, Guidelines and the Privacy Statement at any time without prior notification. Such changes will be posted on the INYC Site at http://www.inyc.com and/or INYC may attempt to notify you of these changes through other means, such as through e-mail, but is under no obligation to do so. You agree to review changes to this License Agreement, Terms and Conditions, Guidelines and the Privacy Statement (collectively referred to as the "Rules") and if any change is not acceptable to you, you agree to terminate use of INYC Services and use of the Software. Your continued use of the Software or Services after any such change constitutes acceptance of all the changes. 1.0 Software License The Software is protected under U.S. and international copyright laws. The Software is licensed to you for your use only (i) in conjunction with INYC Services, as may be modified from time to time, and (ii) in accordance with all of the Rules. 2.0 Permitted Uses You may: 1. Use the Software on any single computer or on a second computer so long as only one (1) copy of the Software is used at a time; 2. Use the Software on a computer network, provided that each person permitted access to the Software through the network has obtained a license for the Software; and 3. Make one (1) copy of the Software for archival purposes, provided the copy must contain all of the proprietary notices contained in the Software as provided by INYC. 3.0 Prohibited Uses You may not (except to the extent applicable law expressly prohibits the following restrictions or as expressly permitted in this License Agreement): 1. Permit others to use the Software except that if you are in possession of a CD-ROM disc or diskette, you may give the disc or diskette to friends and family, but you may not sell or copy it; 2. Permit concurrent use of the Software on more than one computer; 3. Modify, translate, reverse engineer, decompile, disassemble or create derivative works based on the Software or permit others to do so; 4. Copy the Software; 5. Sell, rent, lease, grant a security interest in, or otherwise transfer any rights in or to the Software; 6. Remove or modify any proprietary notices or labels in the Software; 7. Export or re-export any portion of the Software (i) into (or to a national or resident of) Cuba, Iraq, Libya, Sudan, North Korea, Iran, Syria or any other country to which the U.S. has embargoed exports of goods; or (ii) to anyone on the U.S. Treasury Department's list of Specially Designated Nationals or the U.S. Commerce Department's Table of Denial Orders. 4.0 Export Regulations By downloading or using the Software, you represent and warrant that you are not located in, under the control of, or a national or resident of any such country or on any such list. If the Software is identified as a not-for-export product (for example, on any product packaging or media or in a message displayed during the installation process), then, unless you have an exemption from the United States Department of State, the following applies: EXCEPT FOR EXPORT TO CANADA FOR USE IN CANADA BY CANADIAN CITIZENS, THE SOFTWARE AND ANY UNDERLYING TECHNOLOGY MAY NOT BE EXPORTED OUTSIDE THE UNITED STATES OR TO ANY FOREIGN ENTITY OR "FOREIGN PERSON" AS DEFINED BY U.S. GOVERNMENT REGULATIONS, INCLUDING WITHOUT LIMITATION, ANYONE WHO IS NOT A CITIZEN, NATIONAL OR LAWFUL PERMANENT RESIDENT OF THE UNITED STATES. BY DOWNLOADING OR USING THE SOFTWARE, YOU AGREE TO THE FOREGOING AND YOU REPRESENT AND WARRANT THAT YOU ARE NOT A "FOREIGN PERSON" OR UNDER THE CONTROL OF A "FOREIGN PERSON." 5.0 U.S. Government End Users You acknowledge and agree that (i) you are not acquiring the license granted hereunder on behalf of a U.S. government agency, (ii) the license granted hereunder is not being acquired pursuant to a U.S. government contract and (iii) the Software has not been developed with U.S. government funds. 6.0 Ownership INYC and its suppliers retain all title, rights (including, without limitation intellectual property rights) and interest in the Software, except as expressly licensed in this License Agreement. All rights in the content, information and materials accessed through use of the Software are the property of the applicable content owner and may be protected under applicable law. The license granted under this License Agreement gives you no rights in such content, information or materials. 7.0 Software Upgrades INYC may, at any time in its sole discretion, provide you with an upgrade of the Software. However, nothing in this License Agreement grants you any right to receive any enhancement, upgrade or update of the Software. You may not use a previous version of the Software after you have received an upgraded version. Unless INYC indicates otherwise in providing an update of the Software, the terms of this License Agreement shall apply to any upgrade, enhance, or update of the Software. INYC'S ENTIRE LIABILITY AND YOUR EXCLUSIVE REMEDY WITH RESPECT TO THE SOFTWARE SHALL BE REPLACEMENT OF MEDIA CONTAINING THE SOFTWARE OR DOCUMENTATION THAT INYC DEEMS TO BE DEFECTIVE. INYC MAKES NO WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, WITH RESPECT TO THE SOFTWARE. 8.0 Warranty Disclaimers YOU ACKNOWLEDGE AND AGREE THAT THE SOFTWARE IS PROVIDED "AS IS, AS AVAILABLE" WITHOUT ANY WARRANTY OF ANY KIND INCLUDING, WITHOUT LIMITATION, WITH RESPECT TO THE QUALITY, PERFORMANCE OR FUNCTIONALITY OF THE SOFTWARE OR INYC SERVICES OR WITH RESPECT TO THE QUALITY OR ACCURACY OF ANY INFORMATION OBTAINED FROM OR AVAILABLE THROUGH USE OF THE SOFTWARE OR INYC SERVICES OR THAT USE OF THE SOFTWARE OR THE INYC SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE. INYC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND MAKES NO WARRANTIES OR REPRESENTATIONS REGARDING WHETHER THE SOFTWARE IS YEAR 2000 COMPLIANT. 9.0 Limitation of INYC's Liability IN NO EVENT SHALL INYC BE LIABLE UNDER ANY SECTION OF THIS LICENSE AGREEMENT OR UNDER CONTRACT, NEGLIGENCE, STRICT LIABILITY OR ANY OTHER LEGAL OR EQUITABLE THEORY FOR ANY DIRECT, INDIRECT, INCIDENTAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES (INCLUDING, WITHOUT LIMITATION, LOSS OF USE, LOST PROFITS, LOSS OF DATA OR INFORMATION OF ANY KIND OR LOSS OF BUSINESS GOODWILL OR OPPORTUNITY) WHETHER OR NOT INYC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS OR DAMAGES. INYC SHALL NOT BE LIABLE FOR THE COST OF PROCUREMENT OF SUBSTITUTE GOODS, SERVICES OR TECHNOLOGY AND IN NO EVENT SHALL INYC'S LIABILITY TO YOU EXCEED ONE HUNDRED DOLLARS ($100.00). NO ACTION, REGARDLESS OF FORM, ARISING OUT OF THIS LICENSE AGREEMENT MAY BE BROUGHT BY YOU OR INYC MORE THAN ONE (1) YEAR AFTER THE CAUSE OF ACTION HAS ACCRUED. Some jurisdictions do not allow a limitation on liability for negligence that causes death or personal injury. In such jurisdictions, INYC's liability shall be limited to the greatest extent permitted by law. 10.0 Miscellaneous Entire Agreement. The Rules constitute the sole agreement between INYC and you respecting the subject matter hereof and fully supersede any and all other agreements, either oral or in writing. You acknowledge and agree that you have read the Rules and understand their terms. No Assignment. You may not assign this License Agreement to anyone else. Legal Actions. This License Agreement will be governed by and construed in accordance with the laws of the State of New York, excluding its conflict of laws principles. The application of the United Nations Convention of Contracts for the International Sale of Goods is expressly excluded. The exclusive personal jurisdiction of and venue for all disputes arising out of this License Agreement shall be the state and federal courts located in New York, New York, USA and you consent to such jurisdiction and waive all objections to such jurisdiction and venue. Severability. If any provision of this License Agreement is held to be unenforceable for any reason, such provision shall be reformed only to the extent necessary to affect the original intentions of the parties, and the remainder of this License Agreement shall remain in full force and effect. No Waiver.
